The board can call an emergency meeting at anytime to entertain a r/s motion as and when it sees fit. At this meeting without a valid reason at this point in time a plan to just just trust us without checks and balances "have the authorisation to do it when it sees fit and without further consultation" is tentamount to giving the board a blank check.
