The TSX Venture Exchange has accepted for filing the documentation with respect to the issuance of convertible debentures, as announced on Dec. 21, 2012.

Convertible debentures: $3,051,000

Conversion price: principal is convertible into common shares at a conversion price of 12.5 cents per share

Maturity date: Feb. 15, 2014

Interest rate: 12 per cent
