MONTREAL, June 23, 2011 /CNW Telbec/ - Sonomax Technologies Inc. ("Sonomax" or the "Company") (TSXV: SHH) held its Annual and Special Meeting of Shareholders on June 21, 2011 at 10 a.m.

At the meeting, resolutions regarding the following were adopted:

1. Elected directors: Peter J. Malouf, Peter Brennan, Alvin Schacter, Javier San Juan, Kevork Kokmanian, Jean Nicolas Laperle and Adam Schwartz;
   
   
2. Appointed Deloitte & Touche LLP, Chartered Accountants;
   
   
3. Ratified and confirmed the 2010 Stock Option Plan of the Corporation; and
   
   
4. Authorized an amendment to the Articles of the Corporation so as to, under exceptional circumstances and if deemed advisable by the Board of Directors of the Corporation, consolidate, no later than twelve months from the date of the Meeting, the issued and outstanding common shares of the Corporation on the basis of one common share for a maximum of every 15 common shares issued and outstanding;

Following the formal portion of the meeting, there was an informative presentation which featured several speakers:

In addition, 600,000 stock options were granted to five outside Directors of the Company as their annual remuneration. The stock options were granted pursuant to the Company's 2010 Stock Option Plan, have an exercise price of $0.10 each and will expire on June 21, 2016.
