Shoreham Resources 700,000-share private placement

The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Nov. 4, 2009.

Shares: 700,000

Purchase price: 30 cents

Warrants: 700,000 share purchase warrants to purchase 525,000 shares

Warrant exercise price: 60 cents for a one-year period and $1.20 in the second year
