Good news:

Three current Directors of the Company, Richard Boulay, Courtney Shearer and James W. McCutcheon will not be standing for re-election as Directors at the Meeting. Stephen Harapiak and Michael Anderson are new nominees for election as Directors of the Company

I'd say four of the Directors have received extremely good compensation with the low strike price of $1.25 and $1.40. No risk, big reward and it's tax efficient to boot...nice work if you can get it.
