2009-01-22 16:11 ET - Property Agreement

The TSX Venture Exchange has accepted for filing documentation relating to an agreement of purchase and sale dated Dec. 17, 2008, between Jimmy Johnson and Sherry Johnson and Romarco Minerals Inc.

Pursuant to the agreement, the company shall acquire approximately 240 acres of land adjacent to the Haile gold mine property, located in Lancaster county, South Carolina.

As consideration, the company shall issue 100,000 common shares, plus additional cash consideration, payable within one year of closing the agreement.
