"The Agent understands that, concurrently with the Brokered Offering, the Corporation proposes to sell up to 1,000,000 Units at the Offering Price to certain arm's length subscribers residing outside of Canada and the United States for aggregate gross proceeds of up to $4,000,000 (the “NonBrokered Offering”, and together with the Brokered Offering, the “Offering”). Notwithstanding anything to the contrary in this Agreement, the Agent has not acted, and shall not act, as agent in respect of the issue and sale of any Offered Units pursuant to the Non-Brokered Offering and shall not be paid any fee in respect thereof."
