Message: CEO Selling

Thanks! Dina was the questioner. "Who is selling"... actually a related party, which is Mellon, a family trust. The trust has real estate, and sell and may have a 'need' to sell if the real estate assets in Mellon are under pressure

"I have to check on this", says the CEO, but "The number of shares I own has been increasing over time" by exercising options, so the actual number of shares will go up." In so doing, "I have to pay taxes immediately" and, the amount being sols is only a small amount relative to his ownership. The sales do not affect his overall control. He speaks of 'diversifying' but does not explain into what. It is then explained by the moderator and the CEO, that a person may not want to put all their eggs in one basket.

So, if I undestand it properly, a long term strategy is in place, there is no loss of control, the total number of shares held is likely increasing (eg. through the exercise of options). The selling of shares does not change any of the above. And the idea is to get money out to "diversify".

PYR has terminated the Automatic Securities Disposition Plan, which leaves the explanation that the CEO is selling shares for the purpose of "diversifying", while increasing the total number of shares owned over time, without a loss of control.

I respect the CEO, enjoy the company, but the optics of selling at likely the most critical moment for the company this year, raises an eyebrow. Why sell now, and not in a month from now?
