Insiders Privileged Information

This may be an elementary question, if so apologies!
1) Who are deemed insiders? (KXL) Apart from Directors, are people in lab deemed insiders as they would be amongst the first to know quality of drilling results.
2) What restrictions are placed on insiders on using privileged info to benefit by it (prior to NR)
