Your last paragraph is correct, in a technical sense. :-)

However, we all know there a myriad of companies out there that are arms length apart but the principles know that they vote as a block when necessary. Five companies controlled by five different entities could all own 9.99% of the shares each, never have to declare, but when a vote is held they collectively own 49.95% of the company
