I have not been a C Suite member, therefore my Three questions could be rather naive?

For a company that appears to possess such amazing technology, upward potential and zero debt...

1. Why would they not secure a short term $ 1.6 M loan from a financial institution
2. If we pursued this option, would it not have prevented further stock dilution & SP erosion (to the point of injury) 
3. Can the company be sold, at any price without shareholder's vote and majority support
