Message: Proposal!
Vanossa, I was thinking of a similar proposal last night. I have changed my mind and I will not be supporting the proposed options at this time. I do believe that options are a well deserved motivation for employees, and I have personally benefited greatly from options, but I can not support the proposal as written for two primary reasons:
1. Mgmt is not buying shares. As long as the execs aren't showing us that they believe in this investment, as some of us take very big risks in our belief that they can execute, which would help support a higher value for us shareholders, I'm not going to support new options - primarily due to #2.
2. The stock isn't gaining value. Regardless of all thier work, the last week has been dismal. Therefore, I prefer to create a shareholder alternative proposal that provides for additional options as requested but with SP value triggers, including a graduated scale of three levels and a specified period of time that each SP level must be maintained in order to qualify for the new options.
By voting NO, and setting required performance levels in order to earn the options, we make the company accountable - to us, the shareholders. Some of you may balk that these options are intended for engineers and software developers - not exec mgmt who are most responsible for the share price. I strongly believe that a company is a team working toward a common goal. Without revenues and SP value they have all failed. And, it's management responsibility to ensure the team executes at all levels.
Please join me in voting NO to the current terms and requiring the accountability I suggest. I hold a relatively large amount of stock (aprox 140,000) but I don't believe this is enough to significantly impact the results of the vote. I support POET. I believe they will succeed. But I am unwilling to offer additional options without triggers relating to SP values. We deserve this accountability- especially as we endure the current SP activity.
