"Now of course, you know, having the capability is one thing, and being able to
demonstrate it is another—designing the products is important—but then can you scale
it up? Can you provide the supply-chain needed to deliver the products in production?
After all, we’re going after extremely high volume capability. And here POET’s done two
things. We’ve allied with a foundry to produce the optical interposer. We believe SilTerra
has the ability and capacity to deliver the optical interposers to POET at the scale
required. We’ve also got sourcing agreements with strategic partners for photonics
devices, primarily Almae, DenseLight in Singapore, as well as SANAN IC. One of the
most important developments for the company was to establish the joint venture for the
assembly of these optical engines. Remember, when we talk about optical engines
we’re talking about three things: we’re talking about the interposer; we’re talking about
the active devices that go with the interposer; and then we’re talking about actually
assembling these and deploying it in the market. We believe that the capacity and
capital requirements for the interposer are well covered with our foundry partner
SilTerra. We have now allied with SANAN IC. SANAN is the world’s largest provider of
compound semiconductors. They own 50% of the LED market with gallium nitride.
They’ve got a large VCSEL plant for gallium arsenide as well, and a growing indium
phosphide business. They’ve got deep pockets. And so we are extremely pleased to be
partnering with them as a provider of our photonics devices and creating a joint venture

with them, because they can scale and have the capability to scale, to provide the
photonics devices that POET needs. More importantly that joint venture, Super
Photonics, that we created jointly with SANAN, will have the ability to provide these
assembled optical engines at the volumes required by our end customers. And the JV
structure allows for SANAN to make all the investments needed to grow that capacity
for assembly and test, so that POET can use its capital for further deployment of the
optical interposer platform, as opposed to having to deploy that capital for
manufacturing scale. So we’re very happy with the joint venture structure that we’ve
come up with where we partner with SANAN to create an effectively vertically integrated
model for the delivery of optical engines into a highly competitive market, that we
believe we can disrupt with the technology that we have."
