Selling the DL was the non - dilutive financing which we expected to happen  

I think the issue is Mo. The deal won't be ratified until september. POET are in need of cash imminently, based on their exposures. As such they will probably need cash before september and will likley look to some kind of debt financing based on this deal. At least that's what I think T. Mika intimated??
