I agree with your qualifications criteria. In addition it would be helpful if the new board member had Board certification education which is relatively straight forward to get if you want it. My suggestion is that we put this person forward as part of a formal Board nominee process (assuming he wants it and can meet the criteria). Get him on the ballot and let the shareholders decide. I think there is a fair process for shareholders to nominate a person unless the articles of incorporation cede this to the exec??? I haven't checked the articles but when I get time if people here think it is worth looking into I would be prepared to look into and draft a resolution for the person.
