To answer your question
this is a shelf prospectus which means that as of today POET now has the ability to raise funds on the market via a financing.
The terms of the financing, if a finacing is done, will be disclosed in due time and could take many forms, some forms that will inccur dilution and some that won't.
The goal of having a shelf prospectus is too shorten the approval process when POET will want to go the market for a financing.
Therefore, as of today, there is no dilution and such financing could never happen.
If a financing happen, POET will have to make a news release and disclose the terms. The shelf prospectus, which is now approved, will be incorporated by reference as a document, nothing more.
This is almost like you're a shopping for a house with a pre-approved loan from your bank. It will ease your process and soeed-up the transaction.

Finally, Poet is making this same prospectus available to US investors by filling the proper document with the SEC and by nominating a US transfer agent.
