I, too, initially read the regulation as must-file-prospectus-within a 10-day window.

that was cleared up: apparently it's a file-prospectus-anytime-after a minimum 10-day window; once the notice is given, it stays effective until withdrawn.

at this point, we don't know that its purpose is for financing ... could argue that PP under 45-106 would be a simpler means to achieve such a goal.

some have speculated that the intent is really a shelf registration, in order to uplist quickly.
