Fairchij: Rainer where is the 90 day listing period coming from that you quoted? The listing requirement says 4 to 6 weeks.

Well, I am assuming that POET wants to be listed in the best possible exchange segment, which would be the Nasdaq Global Market. POET would have to qualify under one of four standards. Let's see:

  • The Income Standard doesn't apply for lack of income.
  • The Equity Standard doesn't apply, because the stockholders' equity does not reach the required $30 million, since it's just $13 million (at least according to the FS as of 2014-09-30).
  • The Total Assets/Total Revenue Standard doesn't apply, because neither assets nor revenue are anywhere near the required $75 million, respectively.
  • The Market Value Standard is what's remaining. However, this one requires a $4 (closing) bid price for 90 consecutive trading days before applying.

So, conservatively I believe we have to bear with the Market Value Standard.

Fairchij: Also I would be very disappointed if those serious discussions about a deal were not already complete. I fully expect that who they are dealing with have long ago produced a framework so that once the proof is in hand they do not have to waste time discussing what the next move is?

Well, this is what Peter said in London:

So that is from a multi-billion dollar company who came to us and said: "If you can do this in POET, we would be really interested in having serious conversations with you.

I understand he said that this multi-billion company has set a condition which must be fulfilled before they are really interested in having serious conversations. This condition is "if you can build this in POET." From what Peter said, I would assume that the conversations so far have not yet been at a level of seriousness that would, say, require layers to be involved to draft a contract.

Speculations that these "serious conversations" are already complete, are just that: speculations.
