A Naive Question

Ruminating on a possible buy-out.....

Given that I have never been down the road with an emergeing company before, I'm wondering if the buy-out price that was offered and accepted was $10b, with 221 million shares (fully diluted with all options executed), ....does that translate directly into a share price of

10b/212m = $47.17?

Or, is the buy-out SP affected by other factors?
