I wouldn't be so sure about that. This applies to every company with board members that trade publically and I can tell you I've seen a lot of pathetically low buy outs in the last few years that you would shake your head at for getting approval. The boards often go as far to put out a news release to encourage shareholders to approve the buyout on these crazy low prices. Has happened to me a handful of times in the last 4-5 years. In these scenarios you would also expect management to want to maximize their value, but reality is they generally have so many shares/options that it doesn't end up mattering to them as much.

Hopefully this scenario will be different as there are a lot of other factors involved (industry with a lot of deep pockets, Taylor's decades of effort, etc) but I would never hold my breath over that.
