St Clair is the Chairman of the BOD, Frohman the CEO. Here are my thoughts/opinion:

There has to be a simple reason this fell thru. The 1st thought is financing
did not come together. Lenders need collateral and OPMG has none. A leased
office space with furniture is not going to cut it. Ditto with Illume.
Promises of future revs because our patents pending (4 for Illume...I said
pending...they are not approved by the USPTO yet or Illume would have put out a
PR stating such.) OPMG's copy right of PG and owning the apps IP is not good
enough for a loan either. Patent apps can take years not months.

Usually when competitors partner where IP is involved, they cross license the
tech. This is a one way deal and OPMG is the winner. They have no cash to buy
the iZUP license, did they pay for it in shares with no guarantee the pps would
go up then Ross can sell? Hell no IMO. The only thing left is an agreed to
royalty for each iZUP sale/download.

So, OPMG was selected the be the leader to market both apps. This could mean
after a couple of Q's if a lender sees less risk, they may merge at that time.

This BS being posted elsewhere that Frohman squashed the deal because he did not want to step down is nonsense. Read the 8-K Jan 27 and the Jan 30 PR...clearly says Ross to be the CEO and corp moved to Needham, MA. Read all the Boston paper interviews with Ross...that was the agree to plan and I'd be it wouldend up St Clair still chairman, Ross CEO and Frohman the Pres.

Stay tuned for 6 more months or longer...lol.
