Cupcake, I think the either side needs 50% of what they do not already own or have control over.

BHP: has 4%, controls BOD 9.9%, so needs 43% of all shares (50% of remaining 86%). So effectively all but 6% of the non-Wyloo shares.

Wyloo: has 37%, so needs 31.5% of all shares (50% of remaining 63%). Not sure how the BOD's shares factor into Wyloo if they recommend their "agreement". 

Bao has 4%, don't know which way they would go.
