The BOD committed/locked up their shares to BHP as part of the inducement to get BHP to counter Wyloo's bid.

My recollection is that the agreement had the provision that if a superior offer came in the BOD was released from having to tender to BHP.   At that point the BOD is not obligated to either party.  That said Wyloo could try to make a BOD lock up part of the offer conditions but it is unlikely the BOD would agree unless it was a STUPENDOUS $$$ offer.
