Goodheart-1...........Share split is borne out of succsess. Share reorganization on the

other hand is borne out of necessity. Last years proposal was to call them super shares,

this year they are multiple voting shares, one such share for each 50 common shares.

So even if no reverse split being done, shareholder with 1 Million common shares ends up

with 20,000 multiple voting shares if he or she opts for conversion. It seems that coversion

can go both ways going forward. Added will be creation of preference class of shares.

Not owning shares of KWG as yet I will be observing vote on both resolutions as well as

ruling on CLIFF's appeal. Noront will be mine benchmark in deciding entry point.
