Message: The chicken or the egg, Does a NOT/KWG Merger/Takeover make sense at this time?

It been said many times that a major will want the area consolidated. What if it isn’t consolidated? Avoid all the issues over share dilution, ie. 10 KWG shares for 1 NOT share, the voting & maybe a attracting bigger fish? I mean, from what I’ve read on this thread, we can even agree on this forum about a fair deal, but why do we have too? Who knows? KWG just brought the securities expert on board. Maybe they are planning a 10 to 1 reverse split & then a merger right away with NOT, but this is not the way I would like to see this go.

What if they just stay the way they are now. Remember, flying under the radar? I think this still applies to the ROF when it comes to bring in the Majors to early. Meaning everyone wants full value for the find & the work that has been done to date.

I don’t think Boasteel wants to have NOT or KWG bought out.

It has the money to do all this, but its strategy would be to get a minority stake (just below 50%) and let the Canadian companies (or a merged/joint company) to run the show while staying in the shadow to pull some strings (they want a secure and long-term supply of material at a reasonable price).

I don’t think Frank wants to be bought out right away, either? If the right price comes, my feeling is that he will jump at it, but he is giving me the strong impression that he is quiet happy to take his little company all the way. IMO, the longer both companies can stay under their own name, the more they will be worth overtime? Who would want to give that up until the end game?

So I’m thinking that if they do not merger or Noront doesn’t try a takeover of KWG, via Baosteel’s 2 bil. acquisition money, but they do cut a JV deal. If the majors are watching & waiting for this to happen, by not consolidating it holds them off on moving on KWG.

Just look back on what happened with Freewest when NOT made a bid, it didn’t take long for Cliffs to come over the top & take them for a buck! Yuck pooie! Still leaves a bad taste in my month!

If NOT bids for KWG, it surely would bring a bidding war & no body get anything cheap, but cheap is all relative. I think $10 a share is cheap for NOT, when Diamond Fields went for $160/share to Falconbridge after only 18 months of drilling on Voisey bay back in 1995! They also do not get the time to create more value. So, I don’t think it is in anyone’s best interest to takeover or merge at this point?

What does make sense to me is that NOT goes for the cliffs claims, right when Cliffs bottoms, via Baosteel’s 2 bil.! This will then give Baosteel a “toehold” as Goldhunter11 mentioned in the “little mouse that roared”!

If this was to happen, & somehow Allan C. has said they are first in line for those claims, Boasteel would have 10% in NOT & 14% in KWG & the cash backing.

Vale, Glencore or X2 would need to anti-up for a major billion $ takeover of the two companies & the largest land holding in the area.
