Hi Crazy, when I asked the question yesterday with regards to what a Standstill Provision meant, I never thought to Google it until I saw your response.

I then tried it and here is what I found.

"Standstill Provisions

For public companies, the confidentiality agreements typically contains what is known as a standstill provision. This prevents a potential aquirer from purchasing the stock of the target or seeking to control the target company without having been specifically requested by the target company.

Following is a sample Standstill for a public company aquisition.

Unless specifically requested by the company,you will not for a period of one year from the date of this letter agreement,(A) directly or indirectly (whether alone or in concert with another person, entity or group) aquire, offer to aquire or agree to aquire, or make any proposal, with respect to the aquisition, by purchase or otherwise, from the company, or any other person or entity, of any of securities or assests of the company or direct or indirect rights or options to aquire any securities or assests of the company or any of its subsidiaries, or (B) otherwise act (whether alone or in concert with another person, entity or group) to seek to control or influence the management , Board of Directors, or policies of the company."

The news release says

A right to increase their ownership in Noront to 19.9% for a one year period commencing on April 18, 2012 and a standstill provision which expires on April 18, 2013.

This then tells me that Bao cannot purchase anymore shares until April 18 2012,(excluding the warrants if exercised) and then an amount which will not exceed 19.9% for the next year, unless asked to purchase more by Noront.

This in my mind, gives us a certain amount of protection from a hostile bid.
