The main problem with your surmise is that the majority of shareholders, can not, will not and do not attend the AGM for various reasons.... and send in votes by "proxie" but as far as I know as yet there is no other electees to the now standing BOD... nor have any issues past, or in the future been brought forward!!!

We haven't been presented with an alternative to what we have!

This is one of many reasons that the common shareholder feel frustrated and out of touch with this BOD, using this format to vent their frustration.
