In response to PM, I emphazised the financing because this acquisition and SPQ is over $925,000,000 and their balance sheet showed $525,000,000 in cash as of June report. Where would NOT purchase price come from?

In addition, the record shows volume and price spikes for FWR and SPQ for weeks prior to offers and I do not see that here. To the contrary the price simply rose to just 3 cents over Thursday's close and it is still too low with both price and volume to add fuel to hostile bid rumor. JMO.
