I thought CLF only needs 66% of the shares voted at the meeting, meaning that if shares aren't voted they aren't counted. I.E. if 100 shares are voted at the meeting, and 67 of them vote for CLF's, then the deal goes through regardless what Johnny Shareholder sitting at home too lazy to vote thinks or wants.

By all means correct me if I'm wrong.
