Jackie,

Noront has a poison pill put in place from the Richard Nemis days. The shareholders rights plan is only used if management deems a takeover to be unfriendly and wishes to use it. If an offer comes into play that management suggests is friendly, in their opinion, it will not be utilized no matter whether the shareholders agree or not! Not every takeover offers a vote to shareholders as to that decision of acceptance.
