For those that missed the post by DJO regarding Greg Rievely, please read his post first, it starts mid way down this post.
This info should of included the facts that his father was CEO and Chairman and died suddenly of a heart attack on Sept 9th 2008. What that NR did not say was that the main shareholder pulled his money 2 weeks later. Greg went in to wind things down. I cannot believe that Freewest would stoop this low!!
Greg, I know it has been over a year since your dad passed but please accept our condolescenses.
Vancouver, B.C., September 15, 2008 - Biotech Holdings Ltd. (“Biotech” or the “Company”, OTC BB: BIOHF; Frankfurt: 925970.F) is saddened to report the sudden passing of its President and CEO, Robert Rieveley. Mr. Rieveley died unexpectedly of a heart attack on Tuesday, September 9, 2008. The Company wishes to express its heartfelt condolences to his family. He will be sadly missed by all.
Mr. Rieveley was the founder of Biotech. His dream of a benign, yet effective treatment for Type II diabetes was realized after many years of research, development and testing. Biotech currently markets the treatment, Sucanon, in Mexico, while initiatives to expand Sucanon’s availability to other countries continue.
Biotech’s Board of Directors has appointed Lorne Brown, CFO Biotech Holdings Ltd., as interim CEO. As part of its ongoing governance practices, Biotech’s Board of Directors has formed a Special Committee of independent Directors to identify and help the Board select a permanent President and CEO.
Biotech’s Board of Directors will recommend the nomination of Gregory Robert Rieveley to the board at the next annual general meeting on September 26, 2008. Mr. Rieveley, a Chartered Accountant, is currently Vice-President Internal Audit and Business Development at Harry Winston Diamond Corporation.
Obviously there is no sacred ground by FWR and DJO, you are perpetuating this very underhanded crap by bringing it out.
Glorieux
Here is the post by DJO for those who missed it:
I guess the point that FWR is trying yo make , starting at the bottom of page 13 and continuing on to page 14 , is either the lack of knowledge ,or they (NOT) could care less.
Gregory Rieveley NOT Chief financial officer"
" As the condideration offered in the NOT offer consists almost entirely of Noront shares, Noront hs a legal obligation to inclue in the Noront circular the same information s would be required in a pospectus. among information the information that must be disclosd in a pospectus, and thus in the Noront circular,is whether a director or executive officer of the issuer (in this case Noront) is, or has been within the last 10 years,a directoror executive officer of ANY Co. that, while that person was acting in that capacity, made a proposal under any legislation relating to bankrupcy or insolvency, or instituted any proceedings, arrangements or comprimise with its creditors, or had a receiver, receiver manager or trustee appointed to hold assets."
The Noront circular specifically incorporates by reference Noronts annual information form dated Sept.30,2009 for the financial year ended April 30,2009 (the NOT AIF) ,which forms an integeral part of the Noront circular. It is evidentthat the Noront AIF was prepared and filed for the express purpose of incorporation by reference of the Noront circular.
Page 35 sets out that
"none of of the directors, officers or other members of the management of Noront is, or within 10 years prior to the date hereof (Sept.30,2009) has been, a director or officer, promotor or or other member of management of any other issuer...made s proposal under any legislation relating to bankpupcy or insolvency or has been subject to or instituted any proceedings, arrangements or compromise with creditors or had a receiver, receiver manager or trustee appointed to hold it's assets
The Noront AIF and Noront circular identify Gregory Rieveley as the Chief Financial officer of Noront, a position that M. Rievely held since April 27,2009. Based on public documents,it is evidentthat:
Mr. Rieveley became a director of Boitech holdings Ltd. ( BOITECH) on Sept.26 2008 and Chairman of the Board of directors of Biotech on or about Sept26 ,2008
Biotech is a "reporting issuer" in B.C. and Alberta
on July 26,2009 Biotech."an insolvent company".fileda notice of intention to make a proposal to it's creditors under the Bankrupcy and Insolvency act (Canada).which notice was signed by M. Rieveley
on july 14,2009,the Supreme court of B.C. appointed Abakhan and Associates Inc. as interim receiver of all of Biotech's assets, undertakings and property, pursuant to sect, 47.1 of the bankrupcy and Insolvency act (Canada)
On Sept 18,2009 the Supreme Court of B.C. extended by 45 days to Nov. 5,2009 the period within which a proposal may be filed by Biotech of intention to above;
and
Mr. Rieveley is to this day a director of Biotech
None of the foregoing information was disclosed in the NOT circularor any document incorporated by reference therein, notwithstanding the legal requirement that Noront do so.Further, the statement on page 35 of the Noront AIFreferred to above.which forms an integral part of Noront circular,is false. On FWR's view, given that Mr. Rieveley is C.F.O. of NOT this constitutes a material misrepresentation in the NOT circular.
I just in case some of haven't seen the document yet this just a snipet
