Can somebody explain to me why NOT feels Mac's $4 million compensation is excessive; why would they make the whole deal conditional on lowering the compensation? By what mechanism would they be able to lower Mac's compensation? Is there some bad blood here? Is Mac's compensation "excessive" in light of compensation paid to NOT's own BoD? I'm not totally understanding this.
