Flow thru shares are always priced higher than the market price since the investor gets a tax writeoff for the cost of the shares - so a top tier tax payer saves anywhere from 44-48% in taxes - ie the 2.80 shares cost him net - 1.50 approx.

the investors adjusted cost base in the shares is NIL ... so the entire proceeds are a capital gain.

still there is incentive to buy at a premium - good for investor and company.
