Why is Parasoto there?

I have spent some time trying to get a handle on this one, and so far am coming up short. Why is Mr Parasoto even there? Guess what. We put him there.

When Irwin started this proxy fight, he presented a slate of directors that he wanted. We came out fighting, went through the proxy battle, and maybe won or maybe lost. The end result was that he (Irwin) was forced (by us) to accept a compromise slate, which then included Parasoto. All this discussion about how he has been forced upon us by the big money just doesn't fit in somehow ???
