The problem in many cases is not 'Fraud' but greed by Management and Boards of Directors who do not look to maximise the interests of the companies involved but instead look after themselves.

A truly independant Board Member who was looking after the store would not agree to the kind of give away options handed out to other Board members and Management.

Not fraud but hurts the shareholders just as much.
