First stop is to complain directly to the TSX regulatory bodies to request an investigation into facts behind the proposed granting of options and 'unbrokered' private placement. This to be completed 'PRIOR' to any approval of by the TSX of such actions.
Things we should request they (TSX) address in such an investigation.
*Is the intention to dilute retail shareholders to the extent that those mounting the resent proxy fight have a lock on B of D?
*Is the share price of options and private placement reasonable given current exploration results and pending results?
*Has there been trading activity by those participating in the 'proxy' fight to depress Noront share price to facilitate the proposed pricing.
*Are the Board members acting in an independant manner in the best interest of all shareholders.
*Is the intention of the Private Placement to unduly reward those participating in said proxy fight by providing access to shares at less than fair market value? Should they be barred from participation to be absolutely sure this isn't happening?
*Is it in the best interest of all shareholders to move forward with the issuing of options and private placement at this time?
*Provide clear message to all those listed on the TSX that a standard of professionalizm and corporate management is insisted upon by, if appropriate, laying sever penalies should evidence of wrong doing be found.
**It should not take long for an investigator to interview in person or by phone Noront's chief financial officer, cheif geologist, former President, current board members to answer concerns raised.
Second Avenue of Approach
Would likely be to Corporate regulatory agency to make similar inquiries to see if Board of Directors are being influenced (issuing of warrants at below fair value) to enrich certain parties at the expense of Noront Shareholders.
Now we can and should individually sent a complaint directly to the TSX Regulatory officers AND those of us with a 'Broker' should ask our broker to also forward a 'complaint' or 'request for investigation'.
****How about Dick Nemis? I'd really like to hear what his opinion of this is AND if he's willing also to 'request an investigation'.
