Measure(s) taken by the target of a hostile takeover to make itself a less attractive prey. See crown jewel defense, flip in right, leveraged capitalization, poison pill, and scorched earth policy. Also called porcupine provision.



Poison Pill

Definition

Any tactic by a company designed to avoid a hostile takeover. One example is the issuance of preferred stock that gives shareholders the right to redeem their shares at a premium after the takeover.
