PTSC...Got it?

!!!We are right where we need to be!!!

$2 was too far too fast.

I am attempting to be as real as I can about this company.

I do not want to get lost in trying to pump this for others sake and ultimately blinding myself in the process.

After all, it`s my money on the line.

Just facts....of course tinted with my lovable and charming commentary.

Tell me if you see a pattern here in the news releases.

Patriot Scientific Names New Chairman/CEO David H. Pohl to Lead Company in New Direction

*And so just who is this Pohl guy and does he have what it takes to be our fearless Leader?

This is the man at the helm of the ship...you should maybe know a little something about him.

Ptsc crew, we couldn`t have a finer man to lead this company.

After doing research on the man I am more convinced than ever of how well this company (and shareholders)are going to do.

Ya this might be boring...just read it.

Pohl was most recently Of

Counsel with the Encinitas, based law firm of Herold & Sager and was at one time a senior attorney

with the large, prestigious national firm of Jones, Day, Reavis & Pogue, Ohio. He has served on

Patriot’s Board since 2001, and before that, served as a strategic business consultant for the firm.

From 2001 to 2002, Pohl served as Vice President of Administration and Corporate Secretary for

Patriot.

``Pohl has a strong background in areas of financial corporate governance and leadership in

entrepreneurial organizations, with ****specific focus on corporate financial responsibility****, as well as

business acquisitions.

**You have to love that.**

``With the revenue foundation that the new agreement (Aligning with TPL)

provides for us to build upon — we want to continue to move forward in achieving success and

increase of shareholder value. This company is now poised and positioned to aggressively

commercialize and license our valuable intellectual property portfolio.”

````We are moving forward, sometimes more slowly or with smaller steps than we would like, but always with the paramount goal of enhancing shareholder value by prudently addressing company fundamentals and growing the business.``
**Ummm, is he walkin the talk yet?
**Ummm, I think so.
*As well as Mr. Pohls future vision is concerned...
``We may continue to
evaluate opportunities that may exist with small or underfunded companies that may have unique,
compatible products or proprietary technologies to add to our portfolio. All of this would be
consistent with my personal goal, subject to Board approval, to have Patriot become a company
that is **not dependent on a single product line for revenue.**
POOOOOOOOHHHLLLLAAAA!!!
*Here is an article on just how important the last license was with Fujitsu. The significance of the Fujitsu license can not be stressed enough.
Tuesday, March 7th, 2006
*Patriot Scientific Signs Most Significant Licensing Agreement to Date* (PTSC)
``Only a week after signing a licensing deal with Casio, and a month after signing a licensing deal with Hewlett Packard, Patriot Scientific (ticker: PTSC) has announced a **breakthrough** licensing deal with Fujitsu. I think this is the most significant deal PTSC has signed to date.
Fujitsu was one of four Japanese companies that Patriot Scientific sued for patent infringement in a Texas federal court (Matsushita, NEC, and Toshiba are the other three). It is extremely unusual for a co-defendant to break ranks in early-stage patent litigation. Usually defendants will maintain a united front at least through discovery and summary judgment. The fact that Fujitsu folded before the substantive aspects of the litigation even began indicates to me that Patriot Scientific must be holding a pretty strong hand. I expect that the remaining three defendants will settle within the next year, and that the settlements will be even more lucrative. Each increasing licensing deal not only adds credence to Patriot’s claims, but funds its litigation war chest. The stock has had quite a move and may be ahead of itself, but the fundamental story has a ways to go in my opinion.``
Unless Jesus Christ himself is going to be representing the remaining J3 in court....good luck because it *will* take a miracle.
MO, they will settle out of court.
*Also very significant:
Worried about someone eventualy countersuing PTSC?
It has already been attempted.
Intel (the **largest** chip maker in the world) attempted to countersue Patriot Scientific and claim that they were not infringing in early 2004.
And get this ``Intel was basically saying with a smirk on their face ``With where this case is going to be heard, were on home ground(San Francisco), we cant lose``.
February 7, 2004
Intel Corp., the largest chip maker in the world, has asked a federal judge in San Francisco to declare that it is not infringing on a microprocessor patent held by one of San Diego`s smallest companies.
Intel filed suit Wednesday against Patriot Scientific, a tiny Rancho Bernardo company with negligible revenue and eight employees.
``Intel probably sat back and said, `You know we`re going to be next. Why don`t we choose where we want to litigate, rather than where they want to litigate.```
He referred to the federal court in San Francisco as Intel`s ``home court,`` saying more technology patents get scrutinized in that district than any other federal jurisdiction.
***So how did this attempt by the LARGEST chip maker on the planet turn out.....?
***``Intel licensed the MMP portfolio in June 2005``***
*Muwahahaha!
On a side note (ummmm..Anlyst?...lol) concerning the potential buy out from Intel of the MMP Portfolio, heres a statement from AMD that sounds to me that the possibility of Intel attempting to buy out the MMP Portfolio or at least on the minds of the other companies isn`t so far off. Though I`m not sure if thats good or bad.
``Additional terms of the agreements are being kept under wraps, but AMD spokesman Robert Keosheyan told internetnews.com that ultimately, the deal (licensing the MMP Portfolio) allows AMD to protect itself from Intel.``
*Hmmm, they were pretty specific on who they wanted to be protected from.
Also very significant...
``The No. 2 chipmaker (AMD) confirmed today that it bought restricted shares of Patriot stock, obtained rights to make and sell Patriot`s IGNITE 32-bit stack microprocessor and obtained rights to the controversial ``ShBoom`` microprocessor patent portfolio in its entirety.``
http://www.internetnews.com/ent-news/article.php/3484926
***Regarding ongoing royalty/revenue payments, cause we want to know there will be money consistently coming in...dont we?
You bet your ass we do.
And...there will be.
``
The MMP Portfolio Licensing Program therefore focuses licensing requirements and royalty collection on the finished ``system-level`` product. A royalty-free MMP Portfolio license is also available to manufacturers of chips and other unfinished goods.``
*Casio, HP and other system level manufacturers will be paying ongoing royalties/revenues.
``The company also announced that it had received disbursements of $24 million so far on licensing deals with AMD, Intel and HP. One interpretation is that AMD and Intel have made single up-front licensing fees and that HP, **as a systems company**, and Casio (also a systems company) have agreed to make per-unit royalty payments.``
http://www.eetuk.com/bus/news/showArticle.jhtml?articleID=180206990
The portfolio encompasses seven US patents as well as their European and Japanese counterparts. Protected through year 2015, these patents protect techniques used in designing microprocessors, microcontrollers, Digital Signal Processor (DSPs), embedded processors and System-on-Chip (SoC) implementations.
The patents are valid, thus recurring revenues until 2015.
*What do some of the big boys who have ALOT of money involved have to say...?
``A spokesman for Lincoln Ventures(10% owner of PTSC), LLC and Swartz Private Equity, LLC, announced that ``Lincoln and Swartz are pleased with the progress of Patriot`s intellectual property enforcement program through its joint venture portfolio partner, The TPL Group. **We have confidence in their program to secure additional licensing transactions with users of the patented technologies of Patriot and TPL, and the potential for sustained revenue to the Company.**``
Related news with the 10% owners of PTSC...(Lincoln Ventures)
``At Patriot`s request,`` the spokesman continued, ``both Lincoln and Swartz have agreed to convert all of their outstanding Patriot Scientific debentures into shares of common stock. These conversions will result in our beneficial ownership exceeding 5% of the issued and outstanding shares of Patriot, and as a result we will make all appropriate SEC filings as to the future disposition of our holdings of the Company`s common stock. ***We trust that these actions will support Patriot Scientific in its growth as Patriot and TPL accelerate their worldwide licensing of the jointly owned MMP Portfolio.``***
**Because they own 10% of PTSC, they have to report to the SEC if they intend to sell. Have you seen these guys sell a single share?.....nope.
Do you think these boys got in only to flip the company just a few weeks later?......I dont think so.
The entire Industry has begun to bleed and they smell it.
*Wondering what the heck ``P-Newco`` is all about?
P-Newco Formation.
``As part of our Master Agreement with The TPL Group, Patriot has formed a
new entity named P-Newco that is jointly owned by Patriot and TPL Group in equal shares.``
Some financial history?
-- Cash and equivalents on hand - $9.47 million dollars on August 31, 2005 - up from $0.09 million on the same date in 2004 - this is literally an order of magnitude greater in 2005 than 2004.
-- Total current assets - $11.95 million dollars at the end of Q1 2006 - up from $3.61 million at the end of Q4 2005 - growth that represents a near-tripling of current assets within the span of a single quarter.
-- Total assets - $11.95 million dollars on August 31, 2005 - up from $3.72 million on May 31, 2005 - this represents nearly a tripling of assets in just three months.
``We achieved this growth while maintaining current liabilities at virtually the same level from the close of FY 2005 - $1.77 million in Q1 2006 versus $1.69 million in Q4 2005,`` Pohl said. ``In connection with this dramatic improvement in our cash position, we were able to invest in the joint venture with The TPL Group to commercialize our robust patent portfolio. In spite of first-quarter operating expenses of $5.62 million dollars as compared to expenses of $0.51 million in the same quarter in FY 2005, the company still showed a net income gain of $4.44 million dollars over same-quarter prior year.
Portable Media Players (iPods. Blackberries etc.)
Internet `backbone` Hardware.(Companies like Cisco Systems, At&t, SBC or whatever the`re calling themselves these days)
Automobiles (virtually every automobile made today, on multiple counts)
Miscelaneous Statements:
``The intellectual property represented by the MMP Portfolio, and protected around the world, encompasses building blocks for virtually all digital products being designed and shipped today,`` said Mac Leckrone, Alliacense president. ``The depth and breadth of digital products exploiting MMP Portfolio design techniques is remarkable. We routinely find these techniques used in devices ranging from simple TV remote controls to sophisticated medical diagnostic equipment - from portable media players to complex internet `backbone` hardware. Today`s automobiles have dozens of such devices.``
``actively and confidently negotiating for licenses with other U.S. and foreign companies whose products include high speed microprocessors - more than 150 of which were put on notice of likely infringement - and that includes practically every high-tech consumer electronics manufacturer and systems integrator in the global marketplace.``
``The Company strongly believes that more licensing deals and related revenues are likely``
``This dividend payment, which is rare in the arena of microcap companies, is another important step toward evidencing Patriot Scientific`s current financial strength and the fact that the Board and management firmly believe in the Company`s future potential.``
``These changes are positive for Patriot. We continue to move forward with the paramount goal of enhancing shareholder value by prudently addressing Company fundamentals and growing the business.``
``This marks yet another important license confirming the significance of the patents in our valuable jointly owned portfolio,`` said Patriot`s Chairman and CEO David Pohl. ``We are pleased that this licensing decision by Casio represents another notable step toward creating added value for our shareholders.``
Leckrone noted that once digital hardware vendors recognize their broad reliance on the intellectual property protected by the MMP Portfolio, they appreciate the critical need to secure continued access to the fundamental MMP technologies. ``System-level coverage is essential to maintaining product design freedom and avoiding supply-chain disruptions,`` he explained.
*And with that...
``Of the hundreds of companies Alliacense has contacted worldwide, dozens have begun to seek licensing arrangements. ``The competition for early-round berths in many key market sectors is becoming intense.``
