to be PTSC's representative on the Creditor's Committee.
I wonder if our BOD has or will establish a special Committee and pay her a monthly $3000 Chairman fee for her CC "efforts".
or
They might do what I have warned and posted about in the past regarding business dealings that did not need to be detailed or disclosed because they were less than the required reporting threshold for "Transactions With Directors, Executive Officers and Principle Stockholders".
Those transactions or series of transactions need to be specifically described .. only if any of PTSC's Executives, Officers, BOD members, nominees, >5% Shareholders, or Immediate family members has or will have any direct or indirect material interest in any transaction which exceeds $120,000, annually, each.
Has Ms Felcyn's Public Accounting firm even been retained by PTSC ? Is it now ?
If so, I do not believe they are required to disclose if it is or was, so long as it was/is paid less than $120,000 during any single fiscal year. To my knowledge the company has never answered this "under the treshold" question as it relates to ANY of the BOD or Officers or immediate family members past or present; EXCEPT for the $60,000 they themselves authorized paying Carl and Pohl each, and the $40,000 to Gloria, and the $10,000 paid to Dr Falk, for "their efforts" in the initial creation and negotiations which established the JV with Leckrone. Curiously, I think the threshold in 2004 or 2005 was set at $60,000, before they raised it to it's current $120,000 limit a few years ago. Kind of makes you wonder why they decided to raise the limit, doesn't it ????
