I don't think a patent lawyer's letter will do much good in that way. You need a strong litigator from a known litigation firm to write something like that. And even then, will the trigger ever be pulled and who will pay?
At the point, I'm not sure that the BOD even cares. It's very hard to win an action against officers unless there's some clear breach of fiduciary duty or illegal activity. The BOD/management is incompetent, but who has the resources to try and prove something more?
