As far as the rest of the crap about powers and responsibilities, I would expect the committee to make such statements because they do not have the authority to take action to void the ComAG, only PDS does. So if Carl has no intentions of exercising PDS' right to terminate under the BK clause, assuming that it still exists, then it wouldn't surprise me if certain shareholders sued the BoD for breach of fiduciary responsibility to its shareholders.
