In a prior post made by me and one other individual, we quoted a response from investor relations whereby it stated :
we expect to announce the timing for the shareholder meeting soon. We are hoping that the later scheduling of the meeting will afford an opportunity for the further development of matters important to the business to occur.
Moore settlement is now old news and still no announcement of a shareholder meeting. Is there some other development in the works?
According to PTSC's ByLaws:
Article III
Meeting of the Shareholders
3.01 Annual Meeting. The annual meeting of the shareholders shall be held between the 90th and 180th day after the Company's tax year end, at such date and time and at such place, within or without the State of Delaware, as is designated from time to time by the BoD and stated in the notice of the annual meeting. At such annual meeting the shareholders shall elect a Board of Directors in accordance with the Charter and shall transact such other business as may properly be brought before the meeting.
3.03 Notice of Meetings. Except as otherwise provided by law, the Charter or these Bylaws, written notice of any annual or special meeting of the shareholders shall state the place, date and the time thereof and, in the case of a special meeting, the purpose or purposes for which the meeting is called, shall be given to each shareholder of record entitled to vote at such meeting not fewer than 10 or more than 60 days prior to the meeting by any means permitted in Secion 9.01 hereof.
