Message: TPL & Bankruptcy

It's my understanding that if TPL goes bankrupt, they will forfeit their share of the MMP portfolio to PTSC according to the Master Agreement

It is my understanding that if TPL goes bankrupt.. that dissolves the MA/CA... and TPL looses their designation as exclusive licensor of the MMP... that means imo that PTSC would then be able to hire a different group to license the MMP... I believe Leckrone would still maintain his % ownership of the patents as an asignee.. just not be the exclusive licensor.. Moore would maintain his % ownership of patents.. and PTSC would remain 50% owner.. Leckrone would imo maintain his asignee designation until proven otherwise in court vs Moore... At which point PTSC and Moore would be able to enjoin the halfs of MMP ownership and once again begin licensing... If Leckrone retains his asignee designation then, imo he would have the right to license the MMP... as would Moore.. and as would PTSC if the 3 parties could not once again come together and make an agreement to license the MMP as a whole... thus setting up the possibility of three different parties attempting to sell MMP licenses... imo an even worse senario then we have currently...

My guess is with the MMP on the verge of a Markman win Leckrone will either put off payments to Brown et al until licensing monies begin coming in.. or he'll borrow from some entity against the MMP until such happens...

jmo... corrections welcomed.. have a pleasent day
