It's Dead On Arrival - the BOD has already stated its position, just as it did a year ago on the Majority vote. At least this year the "non-binding" is explained.

So the next SHAM has three votes - the outcomes of which all appear to be pre-determined regardless of how the shareholders vote. Doesn't seem right, does it?

It would be nice to know whether the BOD triad was unanimous in its veto of the "Majority" proposal and the "Settlement" with TPL. If not, I wonder which one voted "Against" or "Abstained".

I suppose it's all recorded in the Minutes of the necessary BOD meeting(s).
