3.02 Special Meetings. Unless otherwise proscribed by law, the Charter or these Bylaws, special meetings of the shareholders may be called by the Chairman of the Board, the President, or a majority of the Board of Directors or the Executive Committee. The President shall call a special meeting upon the Secretary’s receipt of written demand therefore by the holders of not less than ten percent of the total voting power. Requests for special meetings shall state the purpose or purposes of the proposed meeting.

3.03 Notice of Meetings. Except as otherwise provided by the law, the Charter or these Bylaws, written notice of any annual or special meeting of the shareholders shall state the place, date and the time thereof and, in the case of a special meeting, the purpose or purposes for which the meeting is called, shall be given to each shareholder of record entitled to vote at such meeting not fewer than 10 nor more than 60 days prior to the meeting by any means permitted in Section 9.01 hereof. No business other than that specified in the notice of a special meeting shall be transacted at any such special meeting.
