Not sure if the prior BOD pay related posts are a subtle way to try and hide the truth or just a simple oversight, but if you're going to post info about things such as BOD Compensation, and the like, I'd suggest that you post ACCURATE and COMPLETE information, not half-truths. BOD Pay is minimum $218.4K annuall if Flowers does indeed waive all BOD related pay. That's more than 3 times the amount being thrown out there and may be even more based on whether the previous reduction in BOD Member fees was tempoarary for 2010 or carried into 2011. And these amounts are very common knowledge, posted here many times, so it's quite odd for "informed" posters to be ignorant of that, IMO.
BOD members receive the following pay per the company's SEC filings:
- BOD Member $36K reduced for 2010 to $28.8K, not clear if temporary or permanent reduction though
- M&A Chair $28.8K
- Audit Chair $67.2K
- Compensation Committee Chair $28.8K
- Exec. Committee Chair $28.8K
- Tech Comm. Chair $48K
- PDS Management Comm Representative $36K
So, the remaining BOD members get in CASH from the company the amounts listed below. They also have been VERY gracious in their options awards to themselves as well and that is in ADDITION to the cash compensation of:
Carlton Johnson - TOTAL Compensation Due for fiscal year 2011 - $129.6K or $122.4K
- BOD Member $36K or $28.8K
- Comp. Comm. Chair $28.8K
- Exec Comm Chair $28.8K
- and PDS Management Comm Rep $36K
Gloria Felcyn - TOTAL Compensation Due for fiscal year 2011 - $103.2K or $96K
- BOD Member $36K or $28.8K
- Audit Comm. Chair $67.2K
Cliff Flowers - TOTAL Compensation Due for fiscal year 2011 - $437.6K
- BOD Member $36K or $28.8K (I believe he said he'd waive it)
- CEO Salary $291.75K
- CEO Bonus up to 50% of salary $145.88K
