Given the vote counts For, Against and Abstain/NoVote could someone clarify...

1a. What would have happened if Proposition #3 (Majority) had been in effect?

1b. What would have happened if Prop3 had preceded Prop1 in the Agenda?

2. There is a clause used a couple of times in the 10-K that says "an ABSTAIN vote or a Broker Non-Vote" will have the same effect as AGAINST. On Page 13 it says this applies to Prop 3. If so, with so many BNVs, how did this motion pass? Of note is that earlier in the discussion it says that"an affirmative vote of the majority of the shares present or voted by proxy ... is required. Should the BNV clause not have been included in the 10K?

3. If Prop 3 is upheld as Approved, do Abstains or Non-Votes count as "Against"?

That clause bothers me because of the 180M Abstentions and Non-votes in the recent SHM voting.
