Perhaps we would all benefit by a rational point by point justification of this lawsuit threat that seems to be (but probably was the plan all along - right Ron and Brian?) latest "shareholder action".

Will a "derivative shareholder lawsuit " meaningfully benefit anyone other than the lawyers perpetrating the suit?
