A non-executive's role is also strategy...which in our case...failed. Rather than constantly providing academic answers, why not try applying real life scenarios? A non-executive BoD member, in this case Schrock, signed off on all M&A activity. Did he rubber stamp the proposals, or did he thouroughly review the due diligence presented to him with the proposals? Either way....he failed...we lose.
Using the "non-executive" title seems to be your way of eliminating all responsibility from the decission makers. Why is that? Using a baseball analogy. Is the General Manager or Manager of the baseball team not accountable when the team doesn't meet expectations? Based on your reasoning, they are not, therefore should never be fired because they are "non-player" management. But we all know that is not the case in the real world...don't we?
