I don't disagree that Goerner should bear the responsibility that you state and suffer the implied consequences.

However, in your vigor to debate me, rather than the points of the argument, you ignore that the very same BOD that you posit giving too much control to Goerner, just promoted and bonused the very CEO that presided over not only the identification of targets, but also the selection process and the projection of guidance.

Are you comfortable that both the BOD and Flowers were sufficiently out of the loop and Goerner sufficiently in control that the results reflect as you characterize, a BOD simply "givng a CEO too much latitude". If so, then you likewise would be similarly foolish, don't you think?
